Chamberlin & Castings Plc Finacial Management Essay
Chamberlin & Castings Plc Finacial Management - Essay Example A takeover could be hostile and resisted by a company. This distinction is important with regard to valuation of the businesses and management of risk. The valuation of the Companies proposed to be merged is: 1st company: Castings Plc. Valued at ?85 M 2nd company: Chamberlin Plc. Valued at ?40 M The paper seeks to study Mergers and Acquisitions (M&A), the justifications for takeover/merger, rationale applied for target identification and financial justifications for the proposal and make an analysis of the proposal. I - Mergers and Acquisitions The advantages of M&A in meeting the Challenges of strategic development perhaps mainly rest on the ability it gives the companies to grow fast in a rapidly changing business environment. For instance, expansion into new products and new market areas through M&A process is simpler and faster compared to organic growth which could be slow in reacting to the external developments, consequently seizing the opportunities. On the other hand, the go vernments place restrictions on M&A though competition laws, for example Competition laws in European Union and Antitrust Laws in the US. Correa (2007, p. vii) states ââ¬Å"While IP law deliberately subjects intellectual assets to the exclusive control of right owners, competition law seeks to avoid market barriers and benefit consumers by encouraging competition among a multiplicity of suppliers of goods, services and technologiesâ⬠. ... one trillion.â⬠After the collapse of junk bond market which has fueled M&A in 1980s, the increase in the M&A activities have started again and reached a phenomenal level in 1990s. These mergers were horizontal in nature in the field of oil, telecommunication and financial services mainly in the US. M&A activities follow a wave pattern and Johnson, Scholes & Whittington (2008, p. 349) state that the worldwide announced deals declined rapidly after 2000 (falling by nearly 30% in 2002 to about 25,000 deals). Justification for takeover strategy Corporate companies have been adopting Mergers and Acquisitions as a strategy for growth. M & A have been necessitated due to various reasons such as inorganic growth, cost reduction, access to technology, growth in market share, synergy in the operations, capacity utilization, entry into new markets, competition, need for capital, weakness in the capital structure of one of the merging company, tax considerations, brand value and stability in the operations. Rao (2009), states that the losses can also be carried forward indefinitely for relief against future income from the same trade Under UK Laws. The companies can explore the possibilities of taking advantage of this provision, through proper legal structure of the combined entity so that the accumulated losses could be set-off against the profits after merger. Relative valuation of the assets of a company and the general economic conditions can make the takeover proposal more attractive on a global basis. The revival in the US economy and the growing economic power of BRIC (Brazil, Russia, India and China) countries make the assets in the UK engineering sector attractive. Hochberg (2011, p. 23) predicts that M&A activity [in engineering sector] will increase in 2011 as the

Instructional Strategies - Essay Example The prescriptions included the art of teaching facts, concepts, interpersonal skills, procedures, attitudes and principles or rules. The following paper describes a generative strategy to support the above prescriptions. Teaching Facts Facts are truths about real life happenings. The teacher should vividly lay down the facts and give their meanings for the student to recall easily. The teacher should also ensure that the student can integrate the facts laid down in their science projects so that they achieve the desired results. Further, the teacher should also organize the facts in a chronological manner for the students to smoothly capture the required meaning. Eventually, the teacher should ensure that the student can elaborate the facts laid down in their own words without problems or deviating from the real meaning. This would ensure that the students generate factual projects and in return scoring higher grades. Teaching Concepts Morrison et al describes concepts a group of sim ilar ideas or things. The teacher should lay down the concepts in a manner that the student can easily recall and comprehend. ... Further, the teacher must make sure that the concepts are well organized for the student to emulate and apply them properly in their projects. Lastly, the teacher should ensure that the student can elaborate the concepts in their own words without distorting the meaning and importance of the concepts. Teaching principals and rules According to Morrison et al, the definition of a rule or principle is a relationship between concepts (2010). Thus, the teacher should clearly state the principle involved in the science projects and make sure that the students understand and recall the principles. Then the teacher should ensure that the students can integrate the principles learnt in their science projects and organize the principles in a chronological manner. Lastly, the teacher should ensure that the middle school students can elaborate the principles in their own words so as to make conclusive projects. Teaching procedures The teacher should formulate a procedure and follow it properly so that the student can follow another on their projects. Then the teacher should ensure that the student can integrate the procedural skills gained in their projects, and organize them chronologically. In addition, the teacher should ensure that the student can elaborate the procedures adequately for proper development of their science projects. Teaching interpersonal skills Interpersonal skills are the ways that human beings use to relate to each other in a cordial manner (Gibson, 1999). Teachers should educate their students on ways of relating to each other in order to help each other in their science projects. The student should be taught that interpersonal skills enable people to help each other out and ask for help. The teacher should

Concealed Carry Everywhere Essay Example for Free
Concealed Carry Everywhere Essay Since the beginning of our nation after the Declaration of Independence was signed, individuals have had the rights to life, liberty, and the pursuit of happiness. Inside these ââ¬Ërightsââ¬â¢ is the right to bear arms. Is that wrong? Should all people have access to firearms? As stated in the second amendment, we as a nation and individuals have every right to own our own weapons. Therefore, it is your right to either own a weapon or not. There are some who buy a gun, put it in their gun cabinet, and never look at it again for years. Others shoot their guns regularly at ranges, take it to go on a hunting trip, or keep it close to their bed at night if they live in areas with a high crime rate, and these are all practices of using a gun that are considered to be proper uses. On the other hand, there are those who obtain them illegally and use them to harm, murder, rape, or put fear in other citizens. Most states offer a concealed handgun license that you can get when you turn twenty-one by going through the right course in order for you to carry a weapon around legally. The right to bear arms is an important symbol of an individualââ¬â¢s freedoms that our founding fathers established for those who understood the proper and improper uses when you bear arms, and anyone or anything trying to take that away is morally unjust and unconstitutional. If you live in a suburb or rural area surrounding a city you usually do not live in fear of someone trying to rob, hurt, or attack you while you are walking down a street. Yet it is still good to keep a firearm around just in case one of these scenarios occur. If you live in a city with a good amount of people, it is a totally different story. We do not live in the wild west anymore so it would be uncommon to see a man walking down the street strapped up with shotguns and pistols looking like he is going to war. Now that we live in the twenty-first century we have certain laws that require you to get a concealed handgun license. Carrying a concealed weapon doesnââ¬â¢t mean that someone is planning on using the gun to rob a bank or hold up a gas station, it is just a citizen arming themselves the legal way just in case they need to use it to protect themselves or anyone in danger. Giving citizens the chance to get these licenses shows trust, our individual freedoms, and ââ¬Å"it is part of the reason why we have a lower crime rateâ⬠(Bush) than we would if we didnââ¬â¢t have citizens with licenses. In highly populated areas across the U. S. there is always going to be a high crime rate due to the amount of people crowded into one area. In every major city there are one or more major college universities. Almost all colleges have a ban on the allowance of guns on campus, and this is partly due to the Students for Gun Free Schools (SGFS). According to statistics pulled from an SGFS essay there is ââ¬Å"an undeniable fact that college causes typically have a lower crime rate than the cities in which they reside. â⬠Some people believe that this is all because guns are not allowed on campus, but I believe that this counter argument is not necessarily true. Most of the reasons that crime rates are lower are because it is a college campus, not a city. The crimes that occur there are mostly thefts and assaults, but not murder and rape. This is because at a college campus there are a bunch of young like-minded individuals who would help a person in need if they saw something wrong happening. However, just because you can carry around a weapon does not mean that you should go to a highly populated area such as malls, airports, sport events, bars, clubs, and banks with your weapon. Even professionals whose job it is to teach concealed handgun courses believe that there are certain times you should carry your weapon and times when you shouldnââ¬â¢t, for the safety of the general public. By bringing your weapon into a crowded public area you can put every individual in the vicinity in danger. Any situation can turn into mass chaos if shots are fired by a gunman and police because bullets miss their intended targets. Many people believe that since the states adopted the CCW right (concealed carry weapon right) that there has been an increase in killings and violent crime rates. In all actuality the states that allow these rights have seen violent crime and murder rates go down, significantly. Florida is one of 40 states with the ââ¬Å"right-to-carryâ⬠statutes that give citizens the ability to carry concealed handguns with the proper licenseâ⬠, and this lets citizens ââ¬Å"stand their ground and fight back when attacked. â⬠(Bush). It is funny that George Bush said that because he brings a good topic up. When there is a chance for good citizens to own their own weapons it gives them a chance to stop crime. According to Executive Director Joe Waldron of the Citizens Committee for the Right to Keep and Bear Arms (CCRKBA). ââ¬Å"Isnââ¬â¢t it ironic that while Florida, with an armed citizenry, is enjoying a drop in crime, and Washington, D.à C. , where citizens are legally disarmed, is experiencing a crime epidemic? â⬠(Waldron). This shows how being able to carry a concealed weapon can really be to the benefit of the individual and the community. The concealed carry group is not the ones committing the crimes. A big reason that citizens get these licenses is because theyââ¬â¢ve heard stories in their communities of theft and break-ins or it is something that their family believes in. They are just trying to protect themselves, their loved ones, friends, and those whom they have never met. This makes them more of a guardian than the supposed wrong doers with guns. This is a fact, most of the gun carriers are just trying to keep the ones around them safe, ââ¬Å"of the 2. 5 million times citizens use their guns to defend themselves every year, the overwhelming majority merely brandish their gun or fire a warning shot to scare off their attackers. Less than 8% of the time, a citizen will kill or wound his/her attacker (Synder). â⬠When you are trained in the course they also teach you basic firing and aiming skills. When you are attacked and provoked to the point where you or someone else is in danger, the gun carrier knows different places he or she can shoot someone to only wound them until the authorities arrive. The opportunity to bear arms runs deeper than being able to stop burglars, murderers, and rapists. It is about the idea of being able to save a life. The feeling one person can get when they know they have done the right thing is something that is irreplaceable and something they will never forget. It also gives you a certain confidence or swagger that helps you sleep at night knowing you can protect yourself and others. When you hear news reports, or read articles attacking gun owners saying that ââ¬Å"we shouldnââ¬â¢t own gunsâ⬠think twice about who is writing it and why. These arguments are nothing more than attacks on our basic individual rights. H. L. Mencken said it best when he says, ââ¬Å"The urge to save humanity is almost always a false front for the urge to rule itâ⬠, and this meaning that things are fine the way they are, and we shouldnââ¬â¢t try to change it. If there is a legal way to get a weapon in order to protect the public, then those who are brave enough to take the challenge should be allowed this privilege.

Achrondoplasia Essay -- essays research papers
Imagine living in a world where everything is super-sized. Imagine having to step on a stool to crawl into bed, or having to climb onto a shelf to be able to reach a light switch. Most of all, imagine having to look up to your much taller younger sister when she speaks to you. Situations like these are what Ivy Broadhead, a teenager with achondroplasia, have to go through everyday. Ivy was born with achondroplasia, the most common form of dwarfism. It is caused by the presence of two mutant alleles in the fibroblast growth factor receptor-3 (FGFR3). It is a substitution, to be precise, at nucleotide number 1138 in the DNA. This substitution on the DNA level results in a minute change on the protein level. This change in the protein impairs the function of the FGFR3 receptor. It is not currently known how this change produces the features of achondroplasia, but scientists are working on it. Ivy is the third generation in her family to be affected by achondroplasia. Her grandfather, her father, and her brother also have it. Achondroplasia is inherited as an autosomal dominant trait whereby only a single copy of the abnormal gene is required to cause achondroplasia. Nobody with the mutated gene can escape having achondroplasia. Many individuals with achondroplasia have normal parents, though. In this case, the genetic disorder would be caused by a de novo gene mutation. De novo gene mutations are associated with advanced paternal age, often defined as over age 35 years. If an individual with achondroplasia produce offspring with a normal individual, the chances of the offspring inheriting the mutant allele achondroplasia is 50%. If both of the parents have achondroplasia, the chances that their offspring will be of normal stature a... ...asia." University of Virginia Health System. 6 Nov. 2007. Of Mice and Men Main Question Essay
The question we are focussing on throughout the whole essay, which is the main theme, is whether Curleyââ¬â¢s wife is a victim in the story or a tramp. The two different sides of Curleyââ¬â¢s wife are hard to determine in Steinbeckââ¬â¢s ââ¬ËMice and Menââ¬â¢, as she tends to swap roles from time to time. At points in the story we have reason to believe that that she is a victim, from the way she feels about Curley and her unattained future, which I will explore further on in the essay. I will also put across my points on how she can be a corrupting tramp by exploring her physical appearance, body language and other characters opinions of her. From Steinbeckââ¬â¢s letter we can see that she couldnââ¬â¢t really trust anyone from a young age because every time she trusted in anyone she got hurt. This shows her innocent side. There are not many points in Steinbeckââ¬â¢s letter that show that she is a corrupting tramp as he tends to mainly focus on her innocent side and he goes through all the times she got hurt and why she got hurt. I will now go on to explain my points in further detail. In this section I will explain how Curleyââ¬â¢s wife could be an innocent victim in her life and in the eyes of others. She is the victim of the ââ¬ËAmerican Dreamââ¬â¢, her desire to go to Hollywood and be an actress, which was a dream that she could not fulfil because of her mother denying her to leave at such a young age. On page 125 she proves that she really could have been an actress by the text stated ââ¬ËShe made a small grand gesture with her arm and hand to show that she could act. The fingers trailed after her leading wrist, and her little finger stuck out grandly from the restââ¬â¢. This small quote shows how talented she could have been and it makes you feel heartbroken that she couldnââ¬â¢t fulfil her dream. From then on she has been crestfallen and cannot trust anyone, this shows her innocent side. She was told by a man that he could put her in the movies; she was thrilled as she wanted to be a famous actress and be sexy like Jean Harlow and Marilyn Monroe but when her mother said she couldnââ¬â¢t go she opted for an easier option to get out of where she was by marrying Curley. She says in the text on page 125 ââ¬ËI donââ¬â¢t like curley, he aint a nice fellaââ¬â¢ which proves that she was forced to get married to him as it was the last option. Because Curley was the easiest and possibly the last option, he didnââ¬â¢t actually love her and just wanted to use her. She knew this and even though he treated her badly, she couldnââ¬â¢t leave him as she did love him. Even if she didnââ¬â¢t she had nowhere else to go so she was basically trapped in her own home. Her life with Curley is miserable which makes her even more upset about not being able to fulfil her dream and have freedom. In the story she confesses to Lennie the one thing that sheââ¬â¢s never confessed to anyone, that she doesnââ¬â¢t actually like Curley and that she canââ¬â¢t escape for fear of what might happen. You can see from this that she just needs someone to talk to as she is so lonely and canââ¬â¢t really confide or talk to Curley about anything. The people on the ranch give her the same amount of respect that Curley does. When they call her or see her around the ranch they donââ¬â¢t associate her with her own name, to them sheââ¬â¢s just Curleyââ¬â¢s wife and they call her ââ¬ËJailbaitââ¬â¢ and ââ¬ËGood lookingââ¬â¢. You can tell she gets frustrated by having no one to talk to when she gets angry on page 123 and says ââ¬ËWhatââ¬â¢s the matter with me? Aint I got a right to talk to nobody? Whatta they think I am anyways?ââ¬â¢ In the story we donââ¬â¢t even find out what her name is which shows how much attention she gets for her looks instead of her personality which is where she wants most attention. From this we can see that she just wants someone to talk to. On the other hand there are main features we can see in the text that describe her to seem like a corrupting tramp. Looking at the way Steinbeck describes her physical appearance we can see how at first impressions she would come across as sluttish. For a start, he describes her outfit. On page 53 when she first appears the first impression would definitely come across as tramp- like as he says ââ¬ËShe had full rouged lips and wide spaced eyes, heavily made up. Her fingernails were red. She wore a cotton dress and red mules. On the insteps of which were little bouquets of red ostrich feathersââ¬â¢. The dress and feather shoes give us a glance of how she wants to accentuate her body and her legs and its almost like sheââ¬â¢s trying to prove that she could be a famous model and have pictures taken of her if sheââ¬â¢d have had the chance to. The colour of the dress and shoes are red which propose danger as we usually approach red as a threatening colour. So from the start we can she that she is going to be trouble for George and especially Lennie due to previous circumstances with him and a girl. Her hair is described as ringlets like ââ¬Ësausagesââ¬â¢ which is good use of foreshadowing as Lennie is described as an animal, and food is used as bait for animals therefore she literally is ââ¬ËJailbaitââ¬â¢. She wears lots of makeup to accentuate her facial features; this is another reason why she could be a corrupting tramp. The first time she walks into the ranch she leans against the door and leans forward to show off her body to Lennie and George, on page 53 Steinbeck states ââ¬ËShe put her hands behind her back and leaned against the door frame so that her body was thrown forwardââ¬â¢. With her accentuated make up and clothing she fails to receive a notice for her feelings and for her emotions and they only concentrate on the way she looks which tells George from the start that she is going to be trouble as she throws herself forward too much for attention. In the way she speaks you can hear the sexiness and huskiness of her voice, as described on page 53 when Steinbeck says ââ¬ËHer voice had a nasal, brittle qualityââ¬â¢ which shows us that she wants to entice people or entrance them. To conclude I think it is important to include the death scene where Steinbeck describes her as being free and innocent after her death. He describes her in a child like form and finally being beautiful and achieving everything she needed to achieve because she was just in the wrong place at the wrong time. This really finalises my decision for her being innocent because it shows that she really wasnââ¬â¢t ever, or didnââ¬â¢t ever mean to be, a corrupting tramp. Her excuse for wearing slutty and provocative clothes could be because she wanted love and affection which she couldnââ¬â¢t get from her own, broken relationship with Curley. She was just in the wrong place at the wrong time, and it wasnââ¬â¢t her fault. My conclusion is that I think she is innocent because of previous points that I have made and stated.

Suicide Is A Significant Decision For A Person - 1302 Words
Suicide is a substantial decision for a person to commit. This life choice can be viewed as a long term answer to an issue which is currently occurring in that persons life. The difficulties of people completing suicide is the notion of a person not reaching their full capabilities including but not limited to; life milestones, traveling, family, life lessons. Some may believe that suicide is deemed premature or not morally defensible before they reach the level of ataraxia, which is described by Hetherinton (2012) as ââ¬Å"a pervasive inner peace that is a kind of purity and completeness in how one is livingâ⬠¦ is genuine tranquillity, not a feeling of tranquillityâ⬠¦ We could state that ataraxia amounts to a fundamental peacefulness within theâ⬠¦show more contentâ⬠¦I say this with the hopes that this individual would have an appropriate support system to direct them to the correct resources of care. The family/ support system has the financial capabilities of affor ding the appropriate care, such as but not limited to counselling and/or medication if needed. I also believe that if a person has reached the level of ataraxia and this person consistently feels as though they would rather be dead then alive, no matter the age of the person, then their suicide is morally defensible. Setting aside the sentiment of ataraxia, if a person is over the age of sixty-five, does their suicide become more defensible than someone who is under this age? The reason for addressing this issue is I feel that Westernized society does not value old age to the extent we value youth. McRory (2002) explains, Health care is becoming expensive around the world. As one of the cost-reduction measures, most of the health care providers are moving the patientââ¬â¢s data into electronic format (Electronic Medical Records). Even though this migration is necessary for efficient health care service, it opens up a big can of worms with respect to security and privacy issues. In particular, when the doctors and patients access this medical information through the Internet, there is a large room for cyber security attacks. Given that the senior citizens have

Offshore Drilling - 1527 Words
Offshore Drilling Does anything out weigh the importance of our planetââ¬â¢s health? You would be surprised by the number of people who look the other way when it comes to keeping the planet clean. Offshore drilling is just one of the major environmental issues that has existed for many years and still continues to be a problem. The topic of offshore drilling not only touches on environmental issues but also political, economic, and ethical issues. All of these tie into the huge debate over offshore drilling and its impacts on the environment.
